Yum China completes its acquisition of the Pizza Hut brand in Mainland China

Yum China Holdings, Inc. (“Yum China”) (NYSE: YUMC; HKEX: 9987) has completed its US$1.2 billion acquisition of the Pizza Hut brand in Mainland China from Yum! Brands, Inc. (NYSE: YUM). The transaction was first announced in June 2026. The transaction, first announced in June 2026, marks a major milestone for Yum China after 36 years of operating the Pizza Hut brand in Mainland China.

The acquisition was first announced on June 16, 2026. With the transaction now completed, Yum China becomes the owner of the Pizza Hut brand in Mainland China after operating the business in the market for 36 years.

Joey Wat, CEO of Yum China, described the acquisition as a major breakthrough for the company. In the near term, the removal of license fee payments to Yum! Brands is expected to bring Pizza Hut’s restaurant margin closer to that of KFC.

As a result, more Pizza Hut restaurants could potentially meet Yum China’s targeted two- to three-year payback period. Over the longer term, Yum China expects brand ownership to provide greater strategic flexibility and allow the company to respond more quickly to market opportunities and changing consumer needs.

Meanwhile, the company plans to accelerate Pizza Hut’s expansion. For 2027 and 2028, Yum China expects annual net new store openings to increase from its original target of more than 600 to over 800 restaurants per year.

Financial impact of the acquisition

The savings from the 3% license fee payments to Yum! Brands are expected to add approximately 2.8% to Pizza Hut’s restaurant and operating profit (OP) margins, net of VAT.

Furthermore, after accounting for deal-related costs, interest and financing expenses, and taxes, the transaction is expected to be accretive to diluted earnings per share (EPS). Yum China expects the impact to be slightly accretive in 2026, followed by mid-single-digit accretion in 2027 and 2028.

These estimates do not take into account any potential additional growth from Pizza Hut.

Financing the Pizza Hut acquisition

To fund the transaction, Yum China secured an offshore RMB-denominated bridge loan equivalent to approximately US$1.2 billion. The loan has a tenor of up to 12 months and an interest rate of around 2%.

For longer-term financing, Yum China said that all options remain under consideration. The company will evaluate its financing plans based on market conditions and capital requirements.

Ultimately, Yum China said its financing decisions will be made with the objective of acting in the best interests of its shareholders.
